Nonprofit organizations play a significant role in our society. They typically focus their energies and resources on enriching the lives of people. Often these organizations are directed and staffed by individually who sacrificially serve as volunteers. The federal income tax system recognizes the social good many nonprofit organizations perform by granting tax-exempt status.

I have served as an attorney on staff of two tax-exempt, charitable organizations for over 30 years. As a result, I am familiar with all aspects of the formation and operation of charitable organization from formation to fundraising.

My assistance to nonprofit organizations can cover a wide range of matters, including:

  • Establishing and structuring of nonprofit organizations
  • Revising articles of incorporation and bylaws
  • Applying for tax-exempt status with the Internal Revenue Service (IRS)
  • Advising management and governing boards on issues related to tax-exempt status under section 501(c)(3) of the Internal Revenue Code
  • Assisting with the requirements of fundraising programs
  • Facilitating donations of appreciated property
  • Counseling on planned or deferred giving programs and the use of wills, trusts (including charitable remainder trusts) and other giving options
  • Helping with issues concerning unrelated business taxable income tax and property tax exemptions

Please contact me if I can assist you the formation and operation of a nonprofit organization.
